Description
Provides comprehensive legal advice to the Aurorium leadership team, reviewing and drafting contracts, ensuring compliance with relevant laws and regulations, mitigating legal risks, and advising on business decisions with a focus on corporate governance, intellectual property, and employment matters, while collaborating with various departments to protect the company's legal interests.

Job Details

Role Specific Responsibilities:
  • Drafts and reviews of a variety of agreements, including sales and services agreements, sourcing/purchasing contracts, distribution agreements, toll manufacture, and a variety of other supplier and customer-related contracts
  • Advises and counsels business representatives on a variety of legal issues, antitrust, intellectual property, regulatory compliance and general commercial law
  • Manages claims and litigation (commercial, employment, product liability, etc.);
  • Coordinates with business units to ensure projects with highest priority/best return for company as a whole are addressed
  • Implements corporate legal policies; conducts training as appropriate
  • Participates as legal representatives on cross-functional company-wide team projects
  • Liaises with other Legal Department resources and manages outside counsel to ensure delivery of effective, efficient advice consistent with corporate objectives
  • Interacts with government agencies as required, in support of the company's legal and compliance matters
  • Conducts due diligence and assists with integration for mergers and acquisitions
  • Develops a thorough understanding of and familiarity with the Company's business, its people, products, markets, facilities, customers and competitors in order to identify trends and formulates structures and strategies accordingly
  • Establishes rapport and a working relationship with management at all levels to encourage and continue the proactive use of in-house legal counsel
  • Performs special assignments or projects, without significant supervision, as assigned by General Counsel


Compliance:
  • Complies with company Health, Safety and Environmental policies, procedures, and arrangements
  • Reports on all Health, Safety and Environmental accidents, incidents, and near misses promptly
  • Always acts in a safe and responsible manner

  • Active participation within continuous improvement activities
  • Participates in problem solving
  • Takes responsibility and ownership for own learning and development in the spirit of continuous improvement of both self and the business
  • Assists in the training, mentoring and assessment of other team members
  • Exercises autonomy and judgement subject to overall direction or guidance


Qualifications/Desired Skills

Education and Qualifications:
  • Juris Doctor (JD) degree


Experience:
  • Licensed to practice law in Indiana
  • 10-15 years broad business and legal experience, either with a law firm or as an in-house counsel
  • Experience with chemical or heavy manufacturing operations in global settings is highly desirable
  • Strong knowledge and understanding of general commercial laware a must
  • Strong knowledge of employment and/or environmental law is highly preferred

  • Excellent communication skills, both written and oral, with high responsiveness and with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
  • Strong organizational skills to prioritize and manage multiple time-sensitive projects simultaneously
  • Willingness and ability to lead complex projects to meet timing and project needs
  • Maintain confidentiality of sensitive information and maintain credibility within the organization
