Responsibilities

We currently have a great opportunity available for a Sr. Director, Regional Counsel position. The Regional Counsel Sr. Director serves as a key legal advisor to SAI business associates, and the SAI senior management team. Accepts and interprets requests for legal services, coordinates appropriate advice and resource support for business owners, and periodically reports progress to the SVP Governance and Legal, General Counsel and Corporate Secretary. Effectively utilizes electronic systems and department work processes, managing internal legal support for assigned matters and the use of external counsel while tracking engagements and expenditures. Cooperates among other department attorneys and legal staff, and assists as required to fully evaluate complex legal issues, and avoid violations of the Foreign Corrupt Practices Act (FCPA), Anti-Kickback Statute, False Claims and similar legislation applicable in the Americas. Responsible for communicating advice, developing associate training materials and conducting training sessions for key business owners on legal matters to support avoiding risk for SAI. Responsible for providing legal guidance and counseling to Sysmex business and functional teams in US, Canada, and Latin America as well as collaborating, when necessary, across the globe with Sysmex attorneys in other regions. Daily activities involve handling not only specific matters including drafting, negotiating and interpreting commercial agreements, providing timely advice, and handling other legal projects under the supervision of the SVP, General Counsel and Corporate Secretary. Must embrace professional standards and Sysmex Compliance and Ethics values and policies and provide value as a business attorney and a strong, collaborative team player.

Essential Duties and Responsibilities:

1. Assist with providing legal services, support and advice to Sysmex management on a broad array of complex issues relating to the company's business with minimal direction.
2. Proactively review, analyze and remain current on a broad range of federal and local legal matters providing appropriate legal advice across US, Canada, Latin America.
3. Serve as an SAI SME (subject matter expert) providing internal support and proactively fulfilling customer requirements to successfully execute partnerships, support deals and complete business transactions.
4. Demonstrate a thorough understanding of and familiarity with the Sysmex business, its people, products, markets, facilities, customers and competitors and utilize that knowledge in providing guidance and counsel to internal clients.
5. Establish rapport and a working relationship with executive management and staff at all levels to encourage and continue the proactive use of in-house legal counsel where appropriate.
6. Perform special assignments or projects, with minimal supervision.
7. Manage activities that include external counsel and legal staff whenever appropriate.
8. Develop independent professional relationships with leadership of SAI's functional areas to maintain a comprehensive understanding of the business, enabling value-added recommendations
9. Additional duties as assigned.

Physical Demands: Light physical effort. Routine handling of objects up to 20 pounds; prolonged (at least 50% of time) sitting, standing, keyboard or CRT work. May require periods of moderate discomfort due to noise, dust, lighting and/or other conditions.

Precentage of Travel: Ability to travel up to 5% over periods of time, including internationally, depending on assigned projects.



Qualifications

    JD from an ABA accredited law school; bachelor's degree; MBA or LLM desirable
  • Minimum of 12-15 years of legal experience as in-house counsel or a related role (such as commercial) private practice area
  • License to practice law in Illinois or at least one state
  • Professional certifications desireable
  • Healthcare industry knowledge preferred
  • Unquestioned integrity and business ethics
  • Prior investigations experience desirable
  • Prior training experience desirable
  • Thorough understanding of principles of good investigation practices
  • Effective leadership profile at all levels of the organization
  • Excellent communications skills, both written and oral
  • Ability to prepare clear, comprehensive draft language - frequently based on incomplete outlines or concepts received from business owners
  • Ability to build trust and effectively coach/counsel at all levels
  • Working understanding of Spanish and/or Portuguese desirable
  • General understanding of IT control systems
  • Ability to use Microsoft Office suite of software
  • Experience with law department technologies desirable
  • Ability to read, analyze and interpret common business documents, journals, financial reports, research, and legal briefs.
  • Ability to work independently with minimal supervision.
  • Ability to provide good professional guidance and advice in matters of commercial agreements, and business and legal practice.
  • Ability to effectively present and communicate information to top management, groups of associates and/or boards of directors.
  • Demonstrated business acumen and sound judgment
  • Process oriented: ability to identify root causes of business processes interfacing with Legal and proactively offering preventative solutions
  • Knowledge of risk evaluation/quantification tools
  • Effective time management and organizational skills

The salary range for this role is $148,927.10 - $234,028.30. Within this range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. The total compensation package for this position also includes a choice of health care plan (medical, vision, and dental insurance), an annual incentive bonus, paid time off, parental leave, bereavement leave and a 401(K) for all eligible employees.
