Foley & Lardner LLP is seeking an experienced Paralegal to support attorneys in the Fund Formation & Investment Management practice group. This position will involve significant contact with lawyers and paralegals at the firm and requires strong interpersonal and communication skills. The successful candidate must be a demonstrated self-starter who is both highly organized and a team player.



Responsibilities

Essential Functions

    Support attorneys with private investment fund formation and related transactions, including but not limited to: the formation of funds and their affiliated entities, including limited partnership and limited liability company entities; drafting and filing applicable formation certificates, tax identification forms and elections and applicable initial governing agreements; reviewing subscription agreements; tracking and following up with submitting investors including supporting AML/KYC documentation and related tax forms; analyzing federal and state securities laws exemptions from registration and exemptions filings; preparing federal Form D and applicable state securities filings; preparing and distributing closing sets to investors, attorneys and clients.
  • Support transfer process for private investment fund sponsors from inception to closing; facilitate transfer intake process, draft and review transfer materials; manage closing of transfer including handling invoices and post-closing client recordkeeping.
  • Manage annual and periodic filings for investment advisers to private investment funds.
  • Support private fund investment transactions such as primary and secondary investments; organize transaction documents for attorney review; completion and submission of investor onboarding materials; coordinate full execution of legal agreements; and manage closing documents for client recordkeeping and practice group knowledge management efforts.
  • Assist with organizing relevant documents related to private investment fund formations and private fund investments; provide ongoing corporate maintenance for private investment fund clients of the firm.

Essential Capabilities

  • Possess demonstrated experience with private investment funds, servicing private fund managers, and institutional investors.
  • Demonstrate ability to maintain strict confidentiality of the firm's internal and personnel affairs.
  • Collaborate and interact effectively with all levels of personnel, including management staff, colleagues and support staff. Possess strong oral and written communication skills.
  • Maintain a proactive approach to meeting deadlines, respond quickly and efficiently to changing priorities, and adapt to tight deadlines with multiple tasks.
  • Possess excellent attention to detail with timely follow through on deliverables.
  • Pursue professional development by actively seeking out feedback and learning new skills.
  • Maintain a professional demeanor in all situations, and work effectively within a cross-office and culturally diverse environment.


Qualifications

  • High School diploma or GED required; Bachelor's degree and/or paralegal certificate strongly preferred
  • Minimum of three (3) years of corporate paralegal or comparable work experience required #LI-Hybrid

Pursuant to the Illinois Equity Pay Act the salary range for this Chicago based position is between $82,700 - $115,800. Pursuant to the Washington DC Pay Transparency Law, the salary range for this Washington DC based position is between $89,900 - $125,900. These figures represent the full compensation range of this position. The actual offered amount will be determined based on the following factors: education, experience, geographic market, and internal pay equity at Foley.
