We have an outstanding career opportunity for a Senior Tax Manager of Global Tax. This role will be responsible for Commvault's tax planning, international operations, cash repatriation, leading mergers and acquisitions, and tax research across our 25+ global subsidiaries. We are looking for a candidate who will be a key member of the Commvault Finance Management team. The ideal candidate will have meaningful experience in a Big 4/Law Firm as well as a demonstrated ability to manage global tax strategy in a fast-paced, high-growth environment. This role demands a highly experienced and strategic tax professional (accounting or law background), who can navigate complex tax landscapes, lead high-stakes initiatives, and provide critical guidance to support the company's growth and financial objectives.

What You'll Do...



  • Maintain a deep understanding of Commvault's business and financial operations.
  • Lead the tax workstream for all M&A activities (acquisitions, divestitures, joint ventures), from due diligence through integration and post-acquisition restructuring. Understand tax implications (including purchase accounting) for possible strategic investments & acquisitions.
  • Help develop and implement tax-efficient deal structures (e.g., asset vs. stock deals, Section 338(h)(10) elections, tax-free reorganizations) that align with corporate objectives and minimize effective tax rate and cash tax.
  • Develop and execute tax-efficient cash repatriation strategies from foreign subsidiaries, considering E&P, basis, foreign tax credits, and withholding tax implications to optimize global liquidity.
  • Drive transfer pricing strategy and execution, including the development, implementation, and maintenance of intercompany agreements and policies aligned with business operations (e.g., IP migration, cost sharing, intercompany services, royalty arrangements for software licensing). Oversee global transfer pricing documentation (Master File, Local Files, CbCR).
  • Monitor and assess the impact of global tax reforms (e.g., OECD Pillar One and Pillar Two initiatives) and develop proactive strategies to mitigate adverse effects and capitalize on new opportunities.
  • Conduct in-depth tax research on highly complex and novel tax issues (federal, state, and international), particularly those impacting the software industry, M&A transactions, or new business models.
  • Federal, state & international income tax audit defense, including preparation of proposed responses and supporting documentation to such inquiries and audits.
  • Oversee international tax compliance filings (e.g., Forms 5471, 8858, 8865, 8990, 8991, 8992, 8993, 1118) and ensure proper integration with the US consolidated return.
  • Participate in key cross functional projects to support business decision making from a tax perspective.



Who You Are...



  • 8-10 years of experience across Big 4 or Law firms with corporate tax environments.
  • Bachelor's degree in Accounting, Finance, or a related field.
  • Strongly Desired: Juris Doctor (JD), often complemented by an LL.M. (Master of Laws) in Taxation.
  • Certified Public Accountant (CPA) license OR active bar membership (Attorney).
  • Extensive proven experience leading the tax aspects of complex M&A transactions (buy-side and sell-side), including tax due diligence, structuring, modeling, negotiation of tax indemnities, and post-acquisition integration. Specific experience with legal entity rationalization and purchase accounting for tax purposes is vital.
  • Deep expertise in US international tax provisions (e.g., GILTI, FDII, BEAT, Subpart F, Section 861, foreign tax credits) and practical application. Demonstrated experience with multi-jurisdictional tax planning, cross-border transactions, and understanding of global tax reform initiatives (e.g., OECD Pillar One and Pillar Two).
  • Significant experience in developing, implementing, and defending global transfer pricing policies and documentation (Master File, Local Files, Country-by-Country Reporting) for a multinational enterprise, particularly related to intercompany services, IP, and financing.
  • Microsoft Excel modeling skills, capable of building complex tax models for scenario analysis, M&A valuations, repatriation planning, and tax forecasting.
  • Executive presence and communication skills to work closely with the executive team in a fast-paced, dynamic environment.
  • Outstanding written and verbal communication skills, including the ability to draft clear, concise, and technically sound tax memoranda, presentations, and reports for diverse audiences.
  • Strong strategic thinking and problem-solving abilities to analyze complex business scenarios, identify tax opportunities and risks, and develop innovative, practical, and defensible tax solutions.
  • Direct experience within the software or high-tech industry is highly advantageous, understanding the unique tax implications of SaaS revenue models, software development capitalization, and intellectual property.
