Business Unit Overview

This position reports directly to the General Counsel & Corporate Secretary and will be an integral member of Novanta's Legal Team. Novanta's Legal Team plays an important role in executing the company's strategic mission and operations and works closely with all Novanta business units to support operating initiatives contributing to the organization's success.

Job Summary

The Senior Corporate Counsel role serves as a business partner for the company's business units and supports the company's compliance organization. The successful candidate will possess strong business acumen and a desire to understand and impact business growth through partnership with internal clients in the medical and industrial markets. The candidate will support the business groups with commercial contracts, intellectual property and general legal support.

Primary Responsibilities

  • Focusing on commercial contract negotiation and support, the role will provide to the Company's business units professional legal advice in matters covering a broad spectrum of commercial and related legal subjects, including contracts, litigation, business practices and IP.
  • The role will be a true business partner to help manage business risks by positively assisting in delivering business solutions, whilst always ensuring that legal requirements are met.
  • Working with two other peers within the Legal Department, the role will help refine and support the contracts management process, and policies and procedures for contract review.
    • Reviews and negotiates agreements with third parties, working with relevant internal stakeholders to ensure management of contractual risk consistent with company risk appetite and operational needs.
    • Develop cross-functional relationships to build consensus, promote best practices and implement process improvements in commercial and other key areas.
    • Provide business leaders with solutions based on critical legal and business thinking, seeking to minimize risks and maximize shareholder returns.
    • Positively impact the business by influencing decisions through timely advice/guidance on commercial legal issues and aid in setting business direction.
  • Proactive collaboration with the leadership team to drive "tone" and a culture that embodies Novanta's values, to sustain a robust environment of integrity and compliance management.
  • Depending on the background and skills of the Candidate, this role may also play an instrumental part in shaping and executing Novanta's global IP strategy and overseeing IP legal support in close partnership with cross-functional teams.
  • This is a rare opportunity to influence the expansion of Novanta through a commercial contract focus, while flexing into other areas such as corporate transactions, IP, or other legal matters as part of a lean legal team.

Required Experience, Education, Skills and Competencies

  • Juris Doctorate from an ABA accredited law school and an active member of the Massachusetts or North Carolina Bar.
  • Greater than 8 years corporate legal experience.
  • Prior in-house corporate legal experience in a multinational manufacturing or high-tech organization handling both commercial/legal and IP issues. Experience at a publicly-listed company is not required but is a benefit.
  • High integrity and ethical standards.
  • Hands on, 'roll-up-your-sleeves' mentality, with a strong attention to detail; ability and willingness to work with minimal administrative support.
  • Ability to analyze complex issues and provide practical and sensible recommendations for solutions.
  • Ability to work effectively as part of a team and excellent communication and interpersonal skills to partner, communicate and negotiate complicated issues with various levels of seniority within the company and with external entities and individuals.
  • Demonstrated business acumen, judgement and initiative and a desire to learn about the company's business and expand areas of expertise.
  • Ability to proactively offer business and legal solutions to business issues; proven capability to set priorities, drive results and act efficiently and effectively while devising innovative solutions to challenging legal problems within a complex business environment.
  • Ability to effectively assess all issues from both legal and business perspectives when advising business leaders, identifying risks and prioritizing response.

  • Mobility to work in a standard office setting and to use standard office equipment, including a computer.

  • Ability to use vison to read computer screen and read printed materials
