What is The Role

Are you ready to be a foundational legal partner for a dynamic and growing public sector business? We are seeking a proactive and strategic Senior Corporate Counsel to join our evolving Americas Commercial Legal team! This critical role is ideal for a resourceful attorney committed to accelerating our Go-To-Market (GTM) motion by enabling sales partners, building trust, improving processes, and eliminating re-work.

Reporting to the head of the US Public Sector and America's Commercial Legal teams, you will be a key partner to Elastic's US Public Sector Sales organization and the broader legal team. We need an expert to provide legal guidance to drive deals to closure and serve as a strategic advisor to help shape our public sector business strategy and compliance efforts.

What You Will Be Doing
  • Lead Complex Public Sector Deals: You will own the legal aspects of our public sector deal cycle. This includes drafting and negotiating a wide variety of agreements like SaaS/PaaS/IaaS licenses, professional services contracts, subcontracts and teaming agreements, and Other Transaction Authority (OTA) agreements.
  • Provide Strategic Counsel on Government Contracting: Serve as the primary legal advisor on US Federal, State, and Local government matters. You'll provide expert guidance on the Federal Acquisition Regulation (FAR), agency supplements, and other regulations, advising on everything from proposal strategy to compliance processes.
  • Navigate Security Requirements: Provide legal support and guidance on matters related to operating a FOCI-mitigated subsidiary. You will also help guide efforts related to maintaining a facility clearance (FCL) and navigating intricate accreditation processes like FedRAMP, CMMC, and DoD SRG.
  • Drive Process Simplification and Sales Enablement: Be a champion for simplifying how we work. Proactively develop, enhance, and drive the adoption of contract templates, playbooks, and workflows to reduce complexity and accelerate deal velocity.
  • Foster Strong Partnerships: Build deep trust and collaborate effectively with key partners across the Legal department, Sales, Finance, Deal Desk, and other GTM functions. We need a partner who can bring others with them, drive positive change, and achieve shared goals in an open and inclusive culture.
What You Bring

Deep expertise in public sector technology transactions, including:

  • Significant experience negotiating complex technology and professional service contracts with government entities through channel partners and as a subcontractor (experience with direct government sales is also a strong plus);
  • A strong, practical understanding of government procurement regulations and related compliance obligations; and
  • Experience providing legal and compliance support for entities with an FCL and operating under FOCI mitigation.

A current U.S. Government Top Secret (TS-SCI) security clearance, and familiarity with FedRAMP, CMMC, DoD SRG, and other accreditation processes is also highly desirable.

You are also a builder. We need a self-starter who excels in a fast-paced environment where time matters and who takes ownership of outcomes. You should be someone who proactively finds ways to improve processes and eliminate rework. We value strong commercial judgment and the ability to balance legal risks with business strategy, making sound decisions quickly, while navigating frequently shifting priorities.

Finally, you are a collaborative partner. Excellent communication skills and the ability to explain complex topics clearly are vital. We are looking for someone who builds strong, authentic relationships through empathy, accountability, and transparency. A commitment to continuous learning and a desire to enhance the team's effectiveness is fundamental. An active bar membership in good standing in at least one US state is required.

Compensation for this role is in the form of base salary.This role does not have a variable compensation component.

The typical starting salary range for new hires in this role is listed below.In select locations (including Seattle WA, Los Angeles CA, the San Francisco Bay Area CA, and the New York City Metro Area), an alternate range may apply as specified below.

These ranges represent the lowest to highest salary we reasonably and in good faith believe we would pay for this role at the time of this posting.We may ultimately pay more or less than the posted range, and the ranges may be modified in the future.

An employee's position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, geographic location, performance, and business or organizational needs.

Elastic believes that employees should have the opportunity to share in the value that we create together for our shareholders. Therefore, in addition to cash compensation, this role is currently eligible to participate in Elastic's stock program.Our total rewards package also includes a company-matched 401k with dollar-for-dollar matching up to 6% of eligible earnings, along with a range of other benefits offered with a holistic emphasis on employee well-being.

$153,800-$243,300 USD

The typical starting salary range for this role in the select locations listed above is:

$184,600-$292,000 USD
