About The Position:

The Director, Enterprise Compliance and Governance ("Director") will assist the Chief Ethics and Compliance Officer ("CECO") with his responsibilities in providing strategic leadership and management for the enterprise-wide compliance and governance programs. The Director will lead effective enterprise compliance program designed to prevent, monitor, detect and respond to all compliance related matters. The Director, is responsible for overseeing activities to ensure compliance with the NERC and Regional Reliability Standards. The Director will lead the coordination of audit activities with regional and NERC audit staff including filing of the pre and post audit reports. The Director will lead an effective governance program focused on operation of the lifecycle management of corporate policies as well as efficient records management.

Key responsibilities include:

  • Leads and directs compliance organization with responsibility to help ensure continuous operation of the Compliance Operating Model.

  • Demonstrates strong team leadership skills and collaborates with subject matter experts to successfully complete multiple compliance activities concurrently and within appropriate timelines. Leads internal support for company-wide subject matter experts to review their processes for compliance, discuss concerns, and offer improvement suggestions.

  • Partners and coordinates with the Company's business segment operations leaders and other enterprise stakeholders on the governance, implementation, effectiveness and continuous improvement of the enterprise compliance program.

  • Coordinates compliance and governance training, including developing new courses with the Company's external training vendor, managing the roll-out of new courses and overseeing the tracking of course completions.

  • Assists the CECO in the following:

    • Advocating for a culture of compliance and for the provision of resources to enable confidential reporting of non-compliance.

    • Implementing and maintaining an effective enterprise-wide governance program designed to manage the lifecycle of corporate policies as well as management of enterprise records.

    • Responding to alleged violations of Ameren's legal/regulatory requirements by implementing processes and procedures for handling, coordinating, and tracking compliance investigations and related data analysis and reporting.

    • Designing and implementing creative and innovative processes in order to maintain effective enterprise compliance and integrity programs.

    • Developing and coordinating compliance communications across the enterprise. Providing oversight and guidance on the effective response to detected problems and provides recommendations for corrective action as appropriate.

  • Serves as alternate point-of-contact for allegations of compliance violations and conducts preliminary assessments. Directs questions to appropriate compliance offices and follows-up to ensure appropriate actions are taken to resolve any non-compliance issues identified.

  • Performs assessments of the program and making appropriate changes and improvements. Provides leadership and oversight in the development of effective lines of communication regarding all compliance and governance matters.

  • Provides oversight, guidance, and coordination of effective compliance risk assessments and compliance reviews.

  • Leads the development of strategies and documented processes for a company-wide coordination to remain compliant with the NERC Standards on an on-going basis.

  • Directs the work plan and execution for the facilitation of NERC audits.

  • Represents Ameren in FERC, NERC, SERC, industry forums, and peer groups on NERC issues from a compliance perspective.

Qualifications:

  • Bachelor's Degree from an accredited college or university and J.D. degree from an accredited U.S. law school and admission to practice in any State is required.

  • 10 or more years of experience in regulatory compliance in a corporate environment, private practice, or some combination thereof, with at least 5 of those years in an electric utility is required.

  • 5 or more years of people leadership and/or demonstrable leadership experience, such as leading projects is required. Direct people management/supervisory experience of a corporate compliance department is highly preferred.

In addition to the above qualifications, the successful candidate will demonstrate:

A strong understanding of legal and regulatory compliance standards and issues. Ability to effectively implement compliance processes and evaluate effectiveness of compliance controls. Experience managing and administering Corporate Code of Ethics or similar programs. Excellent project management skills. Experience leading and managing a team and a demonstrated ability to be an effective leader in the compliance space. A strong people orientation and sensitivity to social and cultural diversity. Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality. Executive leadership; strong, pragmatic business acumen with the ability to recognize the business consequences of advice; a strategic and innovative thinker who can develop and articulate a clear understanding of the organization's strategy from all perspectives and find creative solutions to complex problems. Must be able to move easily between a hands-on, operations-focused view and a strategic outlook. Exceptional interpersonal skills and the ability to communicate effectively with senior business leaders and other professionals and colleagues at all levels of an organization while utilizing excellent judgment in complex situations and maintaining a strong focus on compliance matters. Ability to work collaboratively and with a strong sense of urgency as a member of a team while empowering colleagues and emphasizing accountability. Must be a team player and have the ability to build rapport with a diverse range of business and legal partners. A self-starter and someone who is business-oriented with an ability to arrive at creative solutions to complex legal issues. Quick study, able to handle complex matters, with multiple initiatives going on simultaneously.

Additional Information:

This position is hybrid and will work onsite 3-5 days per week.

Ameren's selection process includes a series of interviews and may include a leadership assessment process. Specific details will be provided to qualified candidates.

Compensation Range:

$188,900.00 - $292,800.00

At Ameren, base salary is one component of a competitive compensation package for employees. Our pay ranges are broad to allow for movement within our organization and to accommodate different skill sets and levels of expertise. We take into consideration a variety of factors including, but not limited to, skills, abilities, experience, education, credentials, and internal equity when determining the base salary offered. Roles are eligible for additional rewards including annual incentive payments based on individual and company performance. Director and above positions also include a Long-Term Incentive Plan and the option to enroll in a Deferred Compensation Plan.
