Job Description:

This Corporate & Transactions Attorney supports our Purpose in their work supporting the negotiation, drafting, and review of major contracts. This role primarily supports Southwest's Technology Department, and they'll draft and negotiate technology agreements, amendments, and analyze/interpret existing agreements. The primary focus of this role will be supporting review and negotiation of data privacy and security terms.This Attorney will work collaboratively with Teams and Leaders in Technology, Supply Chain Management, Marketing, Data Privacy, Cybersecurity, and various stakeholders throughout the Company. The Corporate & Transactions Attorney is a detail-oriented thinker and is excited to champion their work and stakeholders forward. Responsibilities
  • Draft, review, and negotiate commercial agreements
  • Analyze and interpret existing Company agreements to provide legal advice and guidance
  • Provide legal counsel and guidance regarding applicable laws, regulations, and policies to multiple departments within the Company
  • Collaborate with legal department colleagues on a variety of legal, regulatory and policy issues
  • Provide legal support and advice to support compliance with the Company's corporate policies
  • Perform other duties requiring legal research and analysis and/or negotiations as may be requested
  • May be required to perform other job duties as directed by Employee's Leaders
Knowledge, Skills and Abilities
  • Skilled in written and oral communication, ability to work effectively with all levels of Southwest Employees, Southwest executives, clients, outside counsel, vendors, and others
  • Skilled in interpersonal relationships, ability to work well with others as part of a team
  • Ability to perform well under pressure
  • Ability to exercise judgment sufficient to handle and resolve issues related to sensitive and confidential legal matters
  • Ability and willingness to gain expertise and perform work in new areas of the law
  • Ability to be proactive, have excellent organizational skills, and perform efficiently and effectively on multiple projects under tight deadlines
Education
  • Required: High School Diploma or GED
  • Required: Bachelor's Degree
  • Required: Law degree from accredited school
Experience
  • Intermediate level experience, expansive and far reaching knowledge as a licensed practicing attorney with a practice focus on corporate law and commercial transactions
  • Preferred:
    • Experience drafting, reviewing, interpreting, advising on, and negotiating technology contracts - including complex transactions involving the following:
    • Professional Services agreements
    • Software-As-A-Service agreements
    • Software Licensing agreements
    • Hardware Purchase agreements
    • Hosting agreements
    • Data Subscription agreements
    • Three (3) or more years specializing in privacy legal
    • Deep understanding of key contracting issues in technology contracts, including data, privacy, liability, cybersecurity and AI use
    • Experience drafting and negotiating privacy and cybersecurity terms in technology purchase agreements, including data protection agreements, standard contractual clauses, and other data related amendments or addenda
    • Familiarity with privacy issues related to AI and ML
    • In-depth knowledge of global privacy and data protections laws, frameworks and best practices, including GDPR, CCPA, NIST, ISO 27001 and other similar requirements and standards
    • Experience developing or managing a legal playbooks and templates
    • Experience advising on privacy and cybersecurity topics related to technology products and services, including cross-border data transfers, vendor data handling practices, and security obligations
    • Strong collaboration skills; able to work effectively with cross-functional teams and business stakeholders to manage risks and resolve contract issues
    • IAPP certifications (CIPP/US, CIPP/E, or CIPT)
  • Physical Abilities
    • Ability to perform work duties from work station/desk/office area for extended periods of time
    • Ability to communicate and interact with others in the English language to meet the demands of the job
    • Ability to use a computer and other office productivity tools with sufficient speed and accuracy to meet the demands of the job
Licensing/Certification
  • Must be a current member in good standing of a bar association
Other Qualifications
  • Must maintain a well-groomed appearance per Company appearance standards as described in established guidelines
  • Must be a U.S. citizen or have authorization to work in the United States as defined by the Immigration Reform Act of 1986
  • Must be at least 18 years of age
  • Must be able to comply with Company attendance standards as described in established guidelines
  • Must be willing to travel when required for the job
  • Must be able to work flexible schedule to include non-business days and hours as needed to meet client needs

Pay & Benefits:

Competitive market salary from $166,280 per year to $180,120 per

year* depending on qualifications and experience. For eligible Leadership and individual

contributor roles, additional bonus opportunities are available and awarded at the

discretion of the company.
