To plan, organize, direct, and supervise attorneys and legal staff in the US and internationally. To provide advice to the corporation and its subsidiaries on a broad range of legal matters, including but not limited to matters involving freight forwarding and customs brokerage, commercial transactions, regulatory matters, intercompany transactions, employment law, litigation and corporate law. Selects, trains, develops, and motivates a staff of professionals and administers an annual operating budget. Provides legal advice, direction and support regarding all legal issues. Reviews, analyzes, and interprets proposed and current state and federal legislation to ensure compliance by the company with all laws being mindful of any shifts and trends that might impact the company. Structures, negotiates and drafts complex legal and financial documents. Evaluates legal issues involved in claims by or against the company and determines the appropriate course of action, and plans, directs and supervises settlement and other negotiations with adverse parties and their counsel. Hires, plans, directs, and oversees the hiring and evaluation of performance of outside counsel representing the company. Evaluates and determines the position to be taken by the company with respect to legal matters. Handles and resolves all disputes, avoiding litigation to the extent possible where cost-justified. Works with other division personnel and outside counsel in the defense of claims and suits. Develops, advises and coordinates legal activities relating to significant corporate programs that involve several disciplines within the department. Provides legal counsel on legal issues to various departments and members of management at all levels, including senior management. Develops and reviews policies and procedures and provides legal advice as to their compliance with applicable current and proposed state and federal law taking into account their impact on the company's overall philosophy and goals. Assists the internal audit organization in the review of various transactions, policies and business procedures. Recommends and implements appropriate policies and procedures to address audit concerns. Performs other duties as assigned. Juris doctorate degree from an ABA accredited law school and admission to the bar. Ten (10) years experience as an attorney. Significant experience in regulatory matters and business transactions is preferred. Demonstrates skills necessary to be a strong and successful manager (high performance ratings), strong management, human relations and communications skills.
