Job Description

The In-House Legal Counsel will provide legal support to the U.S. subsidiaries (CA and TX) of a global organization. This role advises management and business units on a wide range of legal matters including commercial customer and supplier contracts, corporate governance, regulatory compliance and employment matters. The position works closely with the corporate global legal department to ensure alignment with group policies and international legal standards while supporting local U.S. operations.

The successful candidate will combine strong legal expertise with practical business mindset and the ability to work in a multinational environment.

You will report to the Senior VP, Chief Legal Officer in the global company and work closely with management of the U.S. subsidiary, global legal and compliance team, and business, procurement, HR, and finance teams.

  • You can provide day-to-day legal advice to management and internal stakeholders on U.S. legal matters.
  • You can identify legal risks and propose practical solutions aligned with business objectives.
  • You can support strategic initiatives and new business activities from a legal perspective.
  • You can draft, review, and negotiate a wide range of commercial agreements, including customer and supplier agreements, and licensing agreements.
  • You can develop and update contract templates and internal contracting processes and training.
  • You can ensure compliance with applicable corporate laws and internal group policies, including corporate and commercial law, data privacy regulations, competition/antitrust laws, and sanctions and export control (if applicable), and provide training with respect thereto to applicable departments.
  • You can assist in preparing group policies and procedures and implementation thereof, including applicable training programs.
  • You can maintain corporate records.
  • You can monitor U.S. legal and regulatory developments affecting the company.
  • You can provide legal support on U.S. employment matters, including employment agencies, workplace policies, employee disputes, and terminations and disciplinary processes.
  • You can engage external counsel on litigation matters, manage the cases in terms of corporate direction and decisions through the litigation process in coordination with the global company in various matters such as employment law, patent law and commercial disputes.
  • You can assist in managing claims, pre-litigation disputes, investigations, and regulatory inquiries.
  • You can collaborate with global legal and regulatory compliance team.
  • You can ensure U.S. operations comply with group policies and global legal strategies.
  • You can engage and manage external law firms when specialized legal expertise is required.
  • You can monitor legal spending and ensure cost effective use of external advisors.
Job Requirements
  • Must have Juris Doctor (J.D.) degree from an accredited law school.
  • Must have active license to practice law in CA.
  • Must have 10+ years of legal experience, preferably including in-house experience or a combination of law firm and corporate experience. Experience in the semiconductor industry is preferred.
  • Experience advising multinational organizations is an advantage.
  • Strong knowledge of U.S. commercial and corporate law.
  • Excellent contract drafting and negotiation skills.
  • Ability to translate complex legal issues to practical business advice.
  • Strong stakeholder management and communication skills.
  • Ability to work in a fast-paced environment while coordinating and aligning with internal and global teams.
  • High ethical standards and sound judgment.

Compensation:

$200,000 - $220,000
