We're looking for a *Legal Counsel* to join our team, with a focus on Product & Commercialization! In this role, you will provide legal guidance for our product management and engineering teams, throughout the full product lifecycle - from early stages of development, to launch and commercialization. You will also collaborate closely with Business, Marketing, and Legal teams to advise on a broad range of legal and regulatory matters. What You'll Do: Provide proactive, business-focused legal advice to internal clients, focusing on new software products and features - from concept through launch Review, draft and negotiate a wide range of commercial agreements, including SaaS, license, OEM, professional services, data privacy, reseller, distributor, confidentiality, and other agreements. Deliver practical and creative solutions under tight timelines, balancing legal risk with business needs, and ensuring compliance with contractual, regulatory, data security, and privacy requirements Partner closely with product management, engineering, and business teams to build deep understanding of our products, technologies, and cloud services Support the organization through commercial cycles, including quarter-end and year-end priorities Requirements: Law degree (LL.B. or equivalent) Active license to practice law in good standing in at least one US / Canadian jurisdiction 5+ years of experience as a Legal Counsel or a similar in-house role Experience in a software / tech company, with a focus on commercial agreements, SaaS, and data privacy Experience representing seller-side in drafting and negotiating commercial agreements, as opposed to primarily buyer-side experience US / Canadian Data Privacy certification (CIPP/US or CIPP/C) Solid understanding of the software sales cycle, including supporting commercial processes and deadlines. Customer-focused mindset, with the ability to build strong relationships across cross-functional teams and global regions/time zones Ability to balance multiple priorities in a fast-paced environment while remaining independent, flexible, and responsive to stakeholders Nice to Have: Familiarity with US Anti-trust law.
