Description

Reporting to the Chief Administrative Officer (CAO) the General Counsel serves as the chief legal advisor and corporate secretary to the organization. This role leads daytoday legal operations, manages contract strategy and execution, and partners closely with outside counsel on complex matters.

This is a highimpact, handson leadership role for an attorney who thrives in dynamic environments and is energized by building and improving legal infrastructure. This role will serve as the company's most senior inhouse legal authority, empowered to make decisions, drive outcomes, and shape a modern, businessaligned legal function during a pivotal stage of growth.

Position: General Counsel

Salary: $175,000 - $275,000 annually, depending on experience

Service Area: Lifespark Corporate Office, St. Louis Park MN 55416

Schedule: 1.0 FTE, Full - Time / Monday - Friday, 8:00am-5:00pm

Position Functions & Responsibilities:



  • Serve as a trusted advisor to the CEO, executive leadership team, and Board of Directors on matters including corporate governance, regulatory compliance, contracts, litigation, and risk management.
  • Provide clear, practical, and timely legal guidance that supports business objectives while effectively managing risk.
  • Develop and execute legal strategies that align with organizational goals and business priorities.
  • Oversee the drafting, review, and negotiation of contracts, agreements, and other legal documents.
  • Ensure organizational compliance with all applicable federal, state, and local laws and regulations.
  • Identify, assess, and mitigate legal risks by designing and implementing policies, procedures, and controls. Lead and manage litigation, disputes, and relationships with external counsel.
  • Provide guidance on corporate governance matters and support Board activities, including preparation of materials and advising on fiduciary responsibilities.
  • Oversee intellectual property strategy, including protection, management, and enforcement.
  • Advise on employment law matters and partner with HR on workplace-related legal issues.
  • Advise all other functions regarding their policies and practices
  • Monitor legislative and regulatory developments and advise leadership on potential impacts to the organization.
  • Partner with outside counsel on complex corporate matters, ensuring high quality and cost-effective legal support.
  • Build strong, trust-based relationships across the organization to ensure legal is viewed as a strategic, solutions-oriented partner.
  • Build, mentor, and lead the internal legal team, as applicable.



Qualifications:



  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in Minnesota (or ability to obtain promptly).
  • Minimum of 10 years of legal experience, preferably including in-house counsel experience.
  • Strong knowledge of corporate law, regulatory compliance, and risk management frameworks.
  • Demonstrated leadership and team management experience.
  • Exceptional negotiation, communication, and analytical skills.
  • High level of integrity, sound judgment, and professional ethics.
