Position Summary: The Senior Program Manager, Ethics & Compliance owns and leads the day-to-day delivery of SkyWater's Antitrust Compliance Program. Reporting to the Director, Ethics & Compliance, this role has full programmatic accountability for the development, implementation, oversight, and continuous improvement of the company's antitrust compliance program. This role serves as the company's subject matter expert on antitrust compliance, partners closely with Legal and business partners to ensure compliance with antitrust laws, regulatory obligations, and internal policies. The Senior Program Manager exercises independent judgment across key areas and serves employees across SkyWater's Minnesota, Texas, and Florida operations. The Senior Manager partners closely with the Director to ensure the program is well-designed, effectively implemented, and operates in accordance with the Federal Sentencing Guidelines and the DOJ's Evaluation of Corporate Compliance Programs (ECCP), and interfaces directly with regulatory bodies as required.
Responsibilities:
Antitrust Program Management
- Develop and maintain antitrust policies, procedures, and guidance documents. Collaborate with cross functional partners to drive execution, implementation and adherence to such policies.
- Establish and manage governance structures, including any necessary steering committees and working groups, and serve as the senior functional authority on antitrust compliance matters escalated from across the business. Ensure escalations are risk reviewed, cataloged, and elevated to the Director as necessary to appropriately govern the program.
- Coordinate implementation and monitoring of antitrust compliance requirements across business functions.
- Implement, own, and advance a mature compliance program that meets Compliance Framework expectations and has all elements of an effective compliance program under the ECCP, and is defensible to external regulators.
- Develop and maintain antitrust compliance dashboards, key performance indicators and any required reporting, including reporting to the Director, executive leadership, and external parties as required.
- Lead compliance activities. Create a depository of obligations and inventory control framework to track activities.
- Administer information firewall requirements, including tracking non-disclosure agreements and roster status, and supporting personnel change notices; serve as the primary operational point of contact for compliance obligations and inquiries.
Training & Communications. - Design, develop, and coordinate deliver of antitrust training to employees across functions, roles, and risk levels; evaluate training effectiveness and drive continuous improvement.
- Lead the design and execution of awareness campaigns and communications for ongoing education; tailor messaging by audience and risk exposure; maintain records of training delivery and completion to support required regulatory reporting and audit needs.
Risk Assessment & Monitoring
- Lead periodic antitrust compliance risk assessments, exercising senior-level judgment to prioritize risks and translate findings into program enhancements.
- Develop monitoring and testing activities to assess compliance effectiveness across the organization.
- Analyze trends and recommend enhancements to controls and compliance processes based on risk assessments, monitoring and/or testing activities.
- Serve as a primary point of contact for internal or external audits related to antitrust obligations, including direct engagement with regulatory representatives.
Remediation & Continuous Improvement
- Track remediations activities and corrective action plans for any program findings.
- Lead mitigation of such findings with necessary cross functional partners and drive escalations as necessary.
Investigations & Incident Management
- Lead or co-lead investigations involving potential antitrust concerns, exercising independent judgment on scoping, interviewing, analysis, and conclusions.
- Coordinate with Legal, HR, and compliance teams on investigation strategy, privilege considerations, and remediation; manage cross-functional coordination as the senior compliance lead on matter response.
- Ensure timely escalations of compliance issues through Speak Up program and share with the Antitrust Compliance Officer (ACO).
- Partner with the Director of Compliance and Ethics to ensure antitrust program has awareness for and trust in SkyWater's Speak Up Program through targeted communications, manager enablement, and employee engagement initiatives across all company locations to ensure non-retaliation principles and help establish psychological safety so that employees feel confident raising concerns.
Culture & Cross-Functional Partnership
- Serve as the primary on-the-ground compliance point of contact for employees across SkyWater's Minnesota, Florida, and Texas sites; take responsibility for the employee-facing program presence and foster trust and confidence in antitrust compliance program.
- Build effective partnerships with HR, Legal, Operations, Finance, Security, IT, and other functions to embed ethical practices into business processes and decision-making.

Required Qualifications:
- Bachelor's degree required; degree in business, law, criminal justice, organizational management, or a related field.
- 7-10 years of progressively responsible experience in ethics and compliance, compliance program management, internal investigations, HR/employee relations, legal, or a related field, including demonstrated experience owning and leading defined program areas or functions.
- Experience designing, implementing, and managing enterprise compliance programs.
- Proven ability to influence senior leaders and business partners without direct authority.
- Experience developing policies, standards, procedures, and controls to effectively manage a compliance program.
- Strong project and program management experience, including leading cross functional initiatives. Ability to make connections across program elements to drive sustainable programs.
- Ability to utilize metrics and data to create reporting, dashboards and automated solutions where appropriate.
- Excellent written and verbal communication skills, with the ability to communicate clearly and tactfully with employees at all levels of the organization.
- Proven ability to handle sensitive and confidential matters with discretion, sound judgment, and professional integrity.
- Collaborative working style with the ability to build trust and credibility across functions and at company sites.
- Ability to manage multiple concurrent workstreams of work to drive continuous improvement and keep business partners accountable in meeting outlined goals.
- Demonstrated ability to operate with a high degree of independence, manage program functions with accountability for outcomes, and adapt effectively in a dynamic and growing environment.
U.S. Citizen Required
Preferred Qualifications:
- Certified Compliance and Ethics Professional (CCEP) designation or similar professional certification, or active pursuit thereof.
- Experience in a public company, government contractor, or regulated industry environment.
- Familiarity with the DOJ's Evaluation of Corporate Compliance Programs (ECCP) and/or Federal Sentencing Guidelines for Organizations.
- Experience supporting compliance program functions in a post-merger or multi-site integration context.
- Experience with GRC (governance, risk, and compliance) tools, case management systems, or compliance training platforms.
The annual salary range for this role is $134,080.00 - $201,120.00. Pay offered is based on many factors including, but not limited to, the job-related experience, skills, education, and credentials of each candidate.
